Terms of Service

Welcome to Vet Ready. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Talk Dog, Inc., a Delaware corporation ("Talk Dog," "we," "us," or "our"), governing your access to and use of the Vet Ready platform and related services.
By accessing or using the Vet Ready platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the platform.
1. Definitions
- "Platform" means the Vet Ready web-based software-as-a-service application, including all features, tools, APIs, and related documentation.
- "Services" means the Platform and any associated support, maintenance, and professional services provided by Talk Dog.
- "Customer" means the veterinary clinic, practice, hospital, or other business entity that subscribes to the Services.
- "Authorized Users" means individuals authorized by Customer to access the Platform, including clinic staff, veterinarians, and administrators.
- "End Users" means pet owners or clients of Customer who interact with the Platform through links or interfaces provided by Customer.
- "Customer Data" means all data, content, and information uploaded, submitted, or generated by Customer, Authorized Users, or End Users through the Platform.
- "Subscription Term" means the period during which Customer has an active subscription to the Services.
2. Eligibility and Account Registration
2.1 Eligibility
You must be at least 18 years of age and have the legal authority to bind your organization to these Terms. The Services are intended for use by veterinary practices and related business entities.
2.2 Account Registration
To access the Platform, you must register an account and provide accurate, current, and complete registration information. You agree to update this information as necessary to maintain its accuracy.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Talk Dog of any unauthorized use of your account.
3. Service Description
3.1 Platform Overview
Vet Ready is a software-as-a-service platform designed to help veterinary clinics prepare pet owners before appointments. The Platform provides pre-visit preparation tools, AI-powered guidance, and workflow management features to improve the veterinary visit experience.
3.2 Not Veterinary Medical Advice
THE PLATFORM IS NOT A VETERINARY SERVICE AND DOES NOT PROVIDE VETERINARY MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. All content, guidance, and recommendations provided through the Platform are for informational and preparatory purposes only. The Platform is designed to assist with visit preparation and does not replace the professional judgment of licensed veterinarians.
4. Subscription Plans, Fees, and Payment
4.1 Subscription Plans
Access to the Services requires an active subscription. Available plans, features, and pricing are described on our website or as communicated to you directly.
4.2 Fees and Billing
Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). All fees are quoted in U.S. dollars unless otherwise specified.
4.3 Taxes
Fees are exclusive of all applicable taxes, levies, or duties. You are responsible for paying all such taxes, excluding taxes based solely on Talk Dog's income.
4.4 Price Changes
Talk Dog reserves the right to modify pricing upon at least thirty (30) days' prior written notice. Price changes will take effect at the start of your next billing cycle following the notice period.
5. Auto-Renewal and Cancellation
5.1 Auto-Renewal
Subscriptions automatically renew at the end of each Subscription Term for successive periods of the same duration, unless either party provides written notice of non-renewal at least thirty (30) days before the end of the current term.
5.2 Cancellation
You may cancel your subscription at any time by providing written notice. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial billing periods.
5.3 Effect of Termination
Upon cancellation or termination, your access to the Platform will continue until the end of the current billing period, after which access will be suspended.
6. Access Grant and Restrictions
6.1 Access Grant
Subject to these Terms and payment of all applicable fees, Talk Dog grants you a non-exclusive, non-transferable, non-sublicensable right to access and use the Platform during the Subscription Term, solely for your internal business purposes.
6.2 Restrictions
You agree not to, and will not permit any third party to:
- Copy, modify, or create derivative works of the Platform
- Reverse engineer, disassemble, decompile, or otherwise attempt to discover the source code of the Platform
- Rent, lease, sell, sublicense, or transfer the Platform to any third party
- Use the Platform to build a competing product or service
- Circumvent or disable any security or access control features
- Use automated scripts, bots, or scrapers to access or extract data from the Platform
- Use the Platform in any manner that violates applicable law or regulation
- Remove, alter, or obscure any proprietary notices on the Platform
7. Customer Data Ownership
7.1 Ownership
Customer retains all right, title, and interest in and to Customer Data. Nothing in these Terms transfers ownership of Customer Data to Talk Dog.
7.2 License to Talk Dog
Customer grants Talk Dog a limited, non-exclusive, worldwide license to use, process, store, and transmit Customer Data solely as necessary to provide the Services and as described in our Privacy Policy.
7.3 Aggregated Data
Talk Dog may collect and use aggregated, anonymized, and de-identified data derived from Customer Data for purposes of improving the Services, conducting research, and generating industry benchmarks. Such aggregated data will not identify Customer, Authorized Users, or End Users.
8. Data Security and Privacy
8.1 Security Measures
Talk Dog implements industry-standard administrative, technical, and physical security measures designed to protect Customer Data against unauthorized access, alteration, disclosure, or destruction.
8.2 Privacy Policy
Customer Data is collected, used, and shared in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
8.3 Compliance
Each party agrees to comply with all applicable data protection laws and regulations in connection with the performance of these Terms.
9. Confidentiality
9.1 Confidential Information
"Confidential Information" means any non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. Confidential Information includes, but is not limited to, business plans, pricing, Customer Data, technical specifications, and security practices.
9.2 Obligations
The Receiving Party agrees to: (a) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) not disclose Confidential Information to any third party except as permitted herein; and (c) use Confidential Information only for purposes of performing obligations or exercising rights under these Terms.
9.3 Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no fault of the Receiving Party; (b) was known to the Receiving Party before disclosure; (c) is independently developed by the Receiving Party without use of Confidential Information; or (d) is disclosed pursuant to a legal requirement, provided the Receiving Party gives prompt notice where legally permitted.
10. AI-Powered Features Disclosure
10.1 Use of Artificial Intelligence
The Platform incorporates artificial intelligence and machine learning technologies to provide features such as pre-visit preparation guidance, behavior assessments, and personalized recommendations.
10.2 Informational Purpose Only
AI-generated content and recommendations are provided for informational and preparatory purposes only. They do not constitute veterinary medical advice, diagnosis, or treatment recommendations. All AI-generated outputs should be reviewed by qualified veterinary professionals before being relied upon for clinical decisions.
10.3 Human Oversight
Customer acknowledges and agrees that human oversight is required when using AI-powered features. Licensed veterinary professionals remain solely responsible for all clinical and medical decisions regarding animal care.
10.4 Limitations
AI-generated content may not always be accurate, complete, or current. Talk Dog does not guarantee the accuracy, reliability, or appropriateness of any AI-generated content for any specific situation.
11. Veterinary Disclaimer
11.1 No Veterinary Services
VET READY IS A SOFTWARE PLATFORM, NOT A VETERINARY PRACTICE. Talk Dog does not employ or contract with veterinarians to provide veterinary care through the Platform. The Platform does not diagnose, treat, cure, or prevent any animal disease or condition.
11.2 Professional Responsibility
Customer is solely responsible for all veterinary medical decisions, diagnoses, treatments, and prescriptions. The Platform is a preparatory and workflow tool; it does not replace professional veterinary judgment.
11.3 Regulatory Compliance
Customer is responsible for ensuring its use of the Platform complies with all applicable veterinary practice acts, professional licensing requirements, and regulatory obligations in its jurisdiction.
12. Content and Third-Party Links
12.1 Informational Content
The Platform may include educational content, articles, guides, and other informational materials. Such content is provided for general informational purposes only and should not be relied upon as veterinary medical advice.
12.2 Third-Party Links
The Platform may contain links to third-party websites or services. Talk Dog does not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party sites or services.
13. Interactive Services and User Content
13.1 User Content
The Platform may allow Authorized Users and End Users to submit content, including text, images, and other materials ("User Content").
13.2 License Grant
By submitting User Content, you grant Talk Dog a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such User Content solely as necessary to provide and improve the Services.
13.3 Content Restrictions
You agree not to submit User Content that: (a) is unlawful, harmful, threatening, abusive, or harassing; (b) infringes any intellectual property or proprietary rights; (c) contains viruses or malicious code; or (d) violates any applicable law or regulation.
13.4 Moderation
Talk Dog reserves the right, but has no obligation, to review, edit, or remove User Content at its sole discretion.
14. Intellectual Property
14.1 Talk Dog IP
The Platform, including all software, code, algorithms, designs, text, graphics, trademarks, logos, and other materials (excluding Customer Data and User Content), is the exclusive property of Talk Dog or its licensors and is protected by intellectual property laws.
14.2 Trademarks
"Vet Ready," "Talk Dog," and associated logos are trademarks of Talk Dog, Inc. You may not use these marks without prior written consent.
14.3 Feedback
If you provide Talk Dog with suggestions, ideas, or feedback regarding the Platform ("Feedback"), you grant Talk Dog a perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without obligation to you.
15. Service Availability and SLA
15.1 Uptime Target
Talk Dog targets 99.5% availability for the Platform, measured on a monthly basis, excluding scheduled maintenance windows and force majeure events.
15.2 Scheduled Maintenance
Talk Dog will use commercially reasonable efforts to schedule maintenance during off-peak hours and to provide at least 24 hours' advance notice of planned maintenance that may affect availability.
15.3 Service Credits
If the Platform fails to meet the 99.5% availability target in any calendar month, Customer may request a service credit equal to five percent (5%) of the monthly subscription fee for each full percentage point below the target, up to a maximum credit of twenty-five percent (25%) of the monthly fee. Service credit requests must be submitted within thirty (30) days of the affected month.
16. Support and Maintenance
16.1 Support
Talk Dog provides email-based support during regular business hours (Monday through Friday, 9:00 AM to 5:00 PM Eastern Time, excluding U.S. federal holidays).
16.2 Updates
Talk Dog may, at its discretion, provide updates, enhancements, and new features to the Platform. Such updates may be applied automatically and may alter the functionality of the Platform.
17. Suspension and Termination
17.1 Suspension by Talk Dog
Talk Dog may suspend access to the Platform immediately upon notice if: (a) Customer breaches these Terms; (b) Customer fails to pay fees when due; (c) Talk Dog reasonably believes continued access poses a security risk; or (d) suspension is required by law or regulation.
17.2 Termination by Customer
Customer may terminate these Terms at any time by providing written notice and ceasing all use of the Platform.
17.3 Termination by Talk Dog
Talk Dog may terminate these Terms upon thirty (30) days' written notice if Customer fails to cure a material breach within the notice period.
17.4 Effect of Termination
Upon termination: (a) all rights granted to Customer hereunder immediately cease; (b) Customer must cease all use of the Platform; (c) each party must return or destroy Confidential Information of the other party; and (d) Sections that by their nature should survive termination will survive.
18. Data Portability and Post-Termination
18.1 Data Export
Upon termination or expiration of the Subscription Term, Customer will have thirty (30) days to request an export of its Customer Data in a standard machine-readable format. Talk Dog will make commercially reasonable efforts to fulfill such requests promptly.
18.2 Data Deletion
After the thirty (30) day export window, Talk Dog may delete Customer Data in accordance with its data retention policies, unless retention is required by applicable law.
19. Disclaimer of Warranties
THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TALK DOG DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, THAT ANY RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE, OR THAT ANY DEFECTS WILL BE CORRECTED.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM TALK DOG OR THROUGH THE PLATFORM CREATES ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TALK DOG, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE THEORY OF LIABILITY.
TALK DOG'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO TALK DOG DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER TALK DOG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
21. Indemnification
21.1 By Customer
Customer agrees to indemnify, defend, and hold harmless Talk Dog and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Customer's breach of these Terms; (b) Customer's use of the Platform in violation of applicable law; (c) User Content submitted by Customer or its users; or (d) Customer's veterinary medical decisions or practices.
21.2 By Talk Dog
Talk Dog agrees to indemnify, defend, and hold harmless Customer from and against any third-party claim that Customer's authorized use of the Platform infringes such third party's intellectual property rights, subject to Customer promptly notifying Talk Dog of such claim and cooperating in the defense.
22. Dispute Resolution
22.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.
22.2 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in New York, New York.
22.3 Class Action Waiver
YOU AND TALK DOG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
22.4 Opt-Out
You may opt out of the arbitration and class action waiver provisions by sending written notice to Talk Dog within thirty (30) days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out.
22.5 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information.
23. Modifications to Terms
Talk Dog reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and, where practicable, by email to the address associated with your account. Changes take effect thirty (30) days after posting unless otherwise specified. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms.
24. Miscellaneous
24.1 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
24.2 Assignment
You may not assign or transfer these Terms or any rights hereunder without Talk Dog's prior written consent. Talk Dog may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
24.3 Entire Agreement
These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and Talk Dog regarding the subject matter hereof and supersede all prior agreements and understandings.
24.4 No Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
24.5 Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the party's reasonable control, including natural disasters, acts of government, internet or telecommunications failures, or pandemics.
24.6 Notices
All notices under these Terms must be in writing and will be deemed given when delivered personally, sent by confirmed email, or sent by certified or registered mail, return receipt requested, to the addresses specified herein or as subsequently designated in writing.
24.7 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
